These Terms of Service (“Terms”) govern access to and use of the StreamSmarter AI receptionist service.
The Service is provided by StreamSmarter LLC (“StreamSmarter,” “we,” “us,” or “our”). The business or organization purchasing or using the Service is referred to as the “Customer,” “you,” or “your.”
1. ACCEPTANCE OF THESE TERMS
By checking the box indicating agreement to these Terms and completing the Stripe checkout process, you:
Confirm that you have read and agree to these Terms;
Enter into a legally binding agreement with StreamSmarter;
Consent to the electronic formation of this agreement;
Authorize the recurring charges described below; and
Confirm that you have authority to accept these Terms on behalf of the business or organization identified during checkout or onboarding.
Your electronic acceptance has the same legal effect as a physical signature.
The effective date of this agreement is the date on which these Terms are accepted through checkout.
If you do not agree to these Terms, do not complete checkout or use the Service.
2. BUSINESS USE
The Service is offered for business and commercial use.
By accepting these Terms, you represent that:
You are at least 18 years old;
You have the legal authority to enter into this agreement;
You are purchasing the Service primarily for business purposes; and
If you are acting for a company or organization, you have authority to bind that entity.
The business identified during checkout or onboarding is responsible for all obligations under these Terms.
3. THE SERVICE
StreamSmarter provides an AI-powered telephone receptionist designed to handle calls routed to the Service.
Depending on the Customer’s configuration, the Service may:
Answer missed, after-hours, overflow, or other designated calls;
Communicate with prospective customers using information and instructions supplied or approved by Customer;
Collect caller information, including names, telephone numbers, addresses, requested services, project details, scheduling preferences, and other relevant information;
Ask preliminary lead-qualification questions;
Schedule appointments or consultation calls through Customer’s approved calendar or scheduling system;
Collect information for delivery to Customer’s team when an appointment is not scheduled;
Identify and separate apparent spam calls, robocalls, solicitations, irrelevant inquiries, and other non-customer calls;
Generate call summaries, transcripts, notifications, appointment records, or lead records when those functions are enabled;
Route or escalate calls according to Customer’s approved instructions; and
Perform other mutually agreed functions documented in writing.
The exact configuration may be documented through onboarding forms, questionnaires, emails, implementation documents, account settings, or other written communications between StreamSmarter and Customer.
4. THIRTY-DAY FREE TRIAL
Customer will receive an initial thirty-day free trial of the Service.
The free trial begins on the date the AI receptionist is activated to receive Customer’s designated live calls.
No subscription payment will be charged during the thirty-day trial period.
During the trial, StreamSmarter may configure, test, maintain, and refine:
The AI receptionist’s call flow;
Lead-qualification questions;
Appointment-booking procedures;
Call-routing rules;
Escalation procedures;
Business information;
Notifications and integrations; and
Other relevant Service settings.
The trial allows Customer to evaluate the Service in an operating environment.
5. AUTOMATIC CONVERSION AND RECURRING BILLING
Unless a cancellation is submitted before the thirty-day free trial ends, the Service will automatically convert into a paid month-to-month subscription.
The subscription price is:
$499.99 PER MONTH
The first monthly subscription payment will be charged immediately after the trial period ends.
The subscription will then renew automatically each month on approximately the same calendar date until cancelled.
By accepting these Terms and submitting a payment method, Customer expressly authorizes StreamSmarter and its payment processor, Stripe, to:
Store or tokenize the selected payment method;
Charge the payment method after the free trial ends;
Charge the payment method on each monthly renewal date;
Retry unsuccessful payments when permitted; and
Collect applicable taxes that StreamSmarter is legally required to charge.
A cancellation received before the trial expires prevents the first monthly subscription charge.
A cancellation received after paid service begins prevents charges for future monthly billing periods after the cancellation becomes effective.
6. SUBSCRIPTION INCLUSIONS AND FEES
The $499.99 monthly subscription includes:
Continued access to the configured AI receptionist;
Handling of calls routed to the Service;
Lead qualification and caller-information collection;
Appointment booking or lead-information delivery;
Apparent spam-call filtering;
Call summaries, notifications, and configured integrations;
Reasonable maintenance and adjustments to the AI receptionist; and
The standard third-party infrastructure required to operate the configured Service.
There are no additional setup fees, usage-based fees, integration fees, telephone fees, maintenance fees, or other Service fees beyond the $499.99 monthly subscription price.
Legally required taxes are separate from the subscription price and are not considered additional Service fees.
7. PAYMENT INFORMATION
Customer will provide a valid payment method through Stripe Checkout and maintain accurate billing information.
Customer authorizes Stripe to process payments on StreamSmarter’s behalf. StreamSmarter does not directly receive or store Customer’s complete payment-card number.
If a payment fails, StreamSmarter may:
Notify Customer of the failed payment;
Request updated payment information;
Retry the payment through Stripe; and
Suspend or restrict the Service if the payment remains unresolved for ten days after notice.
Customer remains responsible for valid charges incurred before cancellation or suspension.
8. CANCELLATION
The subscription may be cancelled at any time during the free trial or after paid service begins.
Cancellation requests may be submitted by:
Emailing artur@streamsmarter.io; or
Using an online cancellation method or customer portal made available by StreamSmarter.
The cancellation request should identify the Customer’s business name and the email address associated with the subscription.
Cancellation during the free trial
A cancellation submitted before the thirty-day trial expires prevents the subscription from converting into a paid subscription.
Cancellation after paid service begins
A cancellation submitted after paid service begins takes effect at the end of the then-current monthly billing period.
The Service remains available through the remainder of the paid billing period. No additional monthly subscription payment will be charged after cancellation becomes effective.
Except where required by law or expressly approved by StreamSmarter in writing, payments already made are nonrefundable and are not prorated for partial billing periods.
9. CUSTOMER ONBOARDING AND COOPERATION
Customer will reasonably cooperate with StreamSmarter during configuration and operation of the Service.
Customer is responsible for supplying accurate and current information concerning:
Business names and contact information;
Services offered;
Geographic service areas;
Business hours;
Telephone numbers;
Pricing, estimates, warranties, financing, and promotions;
Scheduling availability and booking rules;
Services Customer does and does not provide;
Qualification questions;
Emergency and escalation procedures;
Employees or representatives who should receive leads or appointments;
Statements the AI receptionist may or may not make;
Required licenses, disclosures, or industry-specific information; and
Any other information reasonably necessary to configure the Service.
Customer will promptly notify StreamSmarter when this information changes.
StreamSmarter may rely on information supplied or approved by Customer and is not responsible for errors caused by inaccurate, incomplete, outdated, conflicting, or misleading information supplied by Customer.
10. ACCESS TO CUSTOMER SYSTEMS
Customer may provide StreamSmarter with access to telephone settings, calendars, scheduling platforms, customer relationship management systems, email accounts, automation tools, or other systems needed to operate the Service.
Customer represents that it has authority to provide access to all accounts, systems, telephone numbers, credentials, and information supplied in connection with the Service.
StreamSmarter will use such access only as reasonably necessary to configure, maintain, troubleshoot, or provide the Service.
Customer is responsible for updating access when credentials, personnel, or business requirements change.
11. CUSTOMER CONTROL AND HUMAN FOLLOW-UP
Customer retains control over its:
Business operations;
Services and service availability;
Pricing and estimates;
Project or customer acceptance;
Sales process;
Customer relationships;
Employee assignments;
Appointment confirmation; and
Performance of its products or services.
The AI receptionist is an administrative and communications tool. It is not a licensed professional, emergency dispatcher, attorney, accountant, financial adviser, insurance professional, medical professional, or other professional adviser.
Customer is responsible for:
Reviewing leads and call information when appropriate;
Following up with callers who require human assistance;
Confirming appointments, pricing, availability, and material service details;
Deciding whether to accept a prospective customer or project;
Handling emergencies and time-sensitive situations; and
Ensuring that its employees appropriately review and use information generated by the Service.
The AI receptionist will not enter into binding contracts, issue binding estimates, authorize work, make professional determinations, or otherwise legally bind Customer unless separately authorized in writing.
12. EMERGENCIES
The Service is not an emergency-response service.
The AI receptionist should not be relied upon to handle situations involving immediate threats to life, safety, health, or property.
Customer is responsible for establishing appropriate emergency procedures and informing callers to contact emergency services when necessary.
13. SYSTEM OPERATION AND LIMITATIONS
StreamSmarter will use commercially reasonable efforts to configure, test, maintain, and refine the AI receptionist so that it follows Customer’s approved call flow and business information.
Customer acknowledges that automated telephone and communication systems may occasionally:
Misunderstand a caller’s statement or request;
Collect incomplete or inaccurate caller information;
Require clarification or assistance from Customer’s team;
Incorrectly categorize a legitimate call as spam or a spam call as legitimate;
Experience interruptions caused by telephone carriers, internet services, integrations, or third-party platforms; or
Be temporarily unavailable because of maintenance or circumstances outside StreamSmarter’s reasonable control.
StreamSmarter will investigate reported material issues and make reasonable adjustments to improve the applicable configuration.
Customer will promptly notify StreamSmarter of inaccurate business information, scheduling problems, call-flow issues, routing errors, or other material problems.
14. APPOINTMENTS AND CALLER INFORMATION
Appointments, call summaries, transcripts, and caller information generated through the Service remain subject to verification by Customer.
Customer is responsible for confirming:
Appointment dates and times;
Caller identities and contact information;
Addresses and locations;
Requested services;
Project or customer details;
Customer eligibility;
Service availability; and
Other information that may affect a business decision.
Customer should not make material business, safety, legal, insurance, medical, or financial decisions solely on the basis of unverified information generated through the Service.
15. BUSINESS RESULTS
StreamSmarter provides the Service described in these Terms but does not control:
The number of calls Customer receives;
Caller behavior;
Lead quality;
Market demand;
Appointment attendance;
Customer’s pricing;
Customer’s sales process;
Customer’s response time;
Customer’s reputation or service quality; or
Customer’s ability to convert inquiries into paying customers.
Statements concerning potential appointments, leads, response rates, revenue, savings, or other benefits are estimates or illustrations unless expressly identified as a written guarantee approved by StreamSmarter.
16. AI, CALL RECORDING, AND COMMUNICATION COMPLIANCE
Depending on the configuration, the Service may use:
Automated or artificial-intelligence-generated voice communications;
Call recording;
Call transcription;
Call summaries;
Telephone routing;
Text messages;
Email notifications; and
Storage of caller information.
Customer is responsible for determining and satisfying disclosure, notice, consent, and other legal requirements applicable to its business, callers, customers, employees, and operating jurisdictions.
StreamSmarter may implement or require call-opening language informing callers that they are communicating with an AI receptionist or that the call may be recorded or transcribed.
Customer will not remove, disable, or circumvent a disclosure that StreamSmarter identifies as necessary for legal or operational reasons.
The Service may not be used to place unlawful prerecorded, artificial-voice, automated, telemarketing, or solicitation calls or messages.
Outbound calling, text-messaging, or marketing functionality requires separate authorization from StreamSmarter and legally sufficient consent from recipients.
17. CUSTOMER DATA
As between StreamSmarter and Customer, Customer retains ownership of the business and customer information it supplies to the Service or that is collected on its behalf.
Customer authorizes StreamSmarter and its service providers to process such information as reasonably necessary to:
Configure and provide the Service;
Route calls and messages;
Generate summaries and transcripts;
Create appointments and lead records;
Deliver notifications;
Maintain integrations;
Troubleshoot errors;
Secure the Service;
Prevent fraud or abuse;
Improve Customer’s configuration; and
Comply with applicable law.
Customer represents that it has a lawful basis to provide StreamSmarter with the information and instructions supplied in connection with the Service.
18. SENSITIVE INFORMATION
The Service is not intended to intentionally collect or transmit:
Social Security numbers;
Government identification numbers;
Banking credentials;
Complete payment-card information;
Medical records;
Health insurance information;
Biometric identifiers;
Account passwords; or
Other highly sensitive personal information,
unless StreamSmarter expressly approves the use in writing and appropriate handling procedures are established.
Customer will notify StreamSmarter if highly sensitive information is inadvertently collected through the Service.
19. DATA SECURITY AND RETENTION
StreamSmarter will use reasonable administrative, technical, and organizational measures appropriate to the nature of the information processed through the Service.
No electronic system is completely secure. StreamSmarter does not guarantee that unauthorized access, cyberattacks, third-party failures, or other security incidents will never occur.
Customer is responsible for securing its own accounts, credentials, devices, personnel access, calendars, customer relationship management systems, and internal networks.
StreamSmarter may retain Customer data for as long as reasonably necessary to:
Provide the Service;
Maintain billing and business records;
Investigate errors or disputes;
Prevent fraud or abuse;
Maintain backups;
Meet legal obligations; and
Protect StreamSmarter’s legal rights.
After termination, StreamSmarter may delete, anonymize, or restrict access to Customer data following a reasonable transition and retention period.
20. THIRD-PARTY SERVICE PROVIDERS
The Service may depend on third-party providers for:
Artificial intelligence;
Telephone and telecommunications services;
Hosting and cloud infrastructure;
Scheduling;
Customer relationship management;
Workflow automation;
Email and text messaging;
Data storage;
Payment processing; and
Related technical functions.
These providers may process information as necessary to deliver their services.
StreamSmarter does not control and is not responsible for third-party outages, platform changes, service restrictions, errors, security incidents, discontinued functionality, or other circumstances outside StreamSmarter’s reasonable control.
StreamSmarter may replace, modify, or reconfigure a third-party provider when reasonably necessary to maintain or improve the Service.
21. CONFIDENTIALITY
“Confidential Information” means nonpublic business, technical, operational, financial, customer, or strategic information disclosed by one party to the other.
Each party will:
Use the other party’s Confidential Information only in connection with the Service;
Protect it using reasonable care;
Disclose it only to personnel and service providers who reasonably require access and are subject to confidentiality obligations; and
Not disclose it to unrelated third parties except with authorization or as required by law.
Confidential Information does not include information that:
Becomes publicly available without breach of these Terms;
Was already lawfully known by the receiving party;
Is independently developed without use of the disclosing party’s Confidential Information; or
Is lawfully received from another source without a confidentiality obligation.
When legally permitted, a party required to disclose Confidential Information will provide reasonable notice to the other party.
22. INTELLECTUAL PROPERTY
StreamSmarter retains all ownership and intellectual-property rights in and to its:
Software and technology;
AI prompts and instructions;
Call-flow frameworks;
Automation systems;
Workflows;
Templates;
Documentation;
Methods;
System architecture;
Integrations;
Generic scripts;
Improvements; and
Other materials used to provide the Service.
Customer retains ownership of its business name, trademarks, customer records, business information, original proprietary materials, customer-specific policies, and materials supplied to StreamSmarter.
Customer grants StreamSmarter a limited, nonexclusive license to use its business name, trademarks, scripts, information, and materials solely as reasonably necessary to provide the Service.
During an active subscription, StreamSmarter grants Customer a limited, nonexclusive, revocable, nontransferable right to use the Service for its internal business operations.
Customer may not:
Copy or reproduce StreamSmarter’s underlying system;
Resell or sublicense the Service;
Reverse engineer the Service;
Extract or reproduce StreamSmarter’s prompts, workflows, or system architecture;
Provide unauthorized third parties with access to the Service; or
Use StreamSmarter’s intellectual property to create a competing product or service.
23. ACCEPTABLE USE, SUSPENSION, AND TERMINATION
StreamSmarter may suspend or terminate the Service if Customer:
Fails to pay an undisputed amount when due;
Materially breaches these Terms;
Uses the Service for unlawful, fraudulent, abusive, misleading, or deceptive activity;
Attempts to damage, disrupt, reverse engineer, or gain unauthorized access to the Service;
Creates a material legal, security, reputational, or operational risk;
Violates another person’s or organization’s rights; or
Ceases business operations or becomes insolvent.
When reasonably practical, StreamSmarter will provide notice and an opportunity to correct the issue before suspension or termination.
Immediate suspension may occur when reasonably necessary to address fraud, unlawful use, a security incident, system abuse, or a material risk to StreamSmarter, Customer, callers, or third parties.
24. WARRANTIES
Each party represents that:
It has authority to enter into these Terms;
Its performance will not knowingly violate another binding agreement; and
It will comply with laws applicable to its own conduct.
StreamSmarter will use commercially reasonable efforts to provide the Service substantially as described in these Terms.
Except for the express commitments in these Terms, the Service is provided on an “as available” basis.
To the fullest extent permitted by law, StreamSmarter disclaims implied warranties of merchantability, fitness for a particular purpose, title, noninfringement, continuous availability, and error-free operation.
25. LIMITATION OF LIABILITY
To the fullest extent permitted by law, neither party will be liable to the other for indirect, incidental, special, exemplary, punitive, or consequential damages, including:
Lost profits;
Lost revenue;
Lost business opportunities;
Loss of goodwill;
Loss of anticipated savings; or
Loss or corruption of data.
To the fullest extent permitted by law, StreamSmarter’s total cumulative liability arising from or relating to the Service or these Terms will not exceed the greater of:
The subscription fees paid by Customer during the three months immediately preceding the event giving rise to the claim; or
Five hundred dollars.
These limitations apply regardless of the legal theory asserted and even if a party was advised that such damages were possible.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
26. INDEMNIFICATION
Customer will defend, indemnify, and hold harmless StreamSmarter and its members, employees, contractors, representatives, and service providers from third-party claims, damages, penalties, liabilities, judgments, settlements, and reasonable legal expenses arising from:
Customer’s products or professional services;
Customer’s interactions or agreements with callers;
Pricing, promises, warranties, instructions, or information supplied or approved by Customer;
Customer’s failure to obtain legally required notices, permissions, or consents;
Customer’s unlawful calling, messaging, recording, marketing, or data practices;
Customer’s misuse of the Service;
Customer’s violation of applicable law; or
Customer’s infringement of another party’s rights.
StreamSmarter will promptly notify Customer of a covered claim and reasonably cooperate with the defense.
Customer may not settle a claim in a manner that admits wrongdoing by StreamSmarter or imposes an obligation on StreamSmarter without StreamSmarter’s written approval.
27. PUBLICITY
StreamSmarter will not publicly use Customer’s name, logo, trademarks, call recordings, testimonials, performance results, or case-study information without Customer’s prior written or electronic approval.
Any approved use will remain limited to the scope of Customer’s authorization.
28. INDEPENDENT CONTRACTORS AND ASSIGNMENT
StreamSmarter and Customer are independent contractors.
These Terms do not create an employment relationship, partnership, joint venture, franchise, fiduciary relationship, or general agency relationship.
Neither party may make commitments on behalf of the other except as expressly authorized in writing.
Customer may not assign its subscription or rights under these Terms without StreamSmarter’s written approval, except as part of a merger, reorganization, or sale of substantially all of Customer’s business assets.
StreamSmarter may assign these Terms as part of a merger, reorganization, sale of the business, or transfer to an affiliated entity.
29. FORCE MAJEURE
Neither party will be responsible for a delay or failure caused by circumstances beyond its reasonable control, including:
Internet or telecommunications outages;
Third-party platform failures;
Natural disasters;
Government actions;
Labor disputes;
Cyberattacks;
War or civil unrest;
Utility failures; or
Widespread infrastructure interruptions.
The affected party will use reasonable efforts to resume performance.
30. CHANGES TO THESE TERMS
StreamSmarter may update these Terms to reflect changes in the Service, applicable law, security requirements, or business operations.
Changes will apply prospectively.
StreamSmarter will provide reasonable electronic notice of material changes.
A change to the subscription price or recurring-billing structure will apply only after appropriate advance notice and in accordance with applicable law.
Continued use of the Service after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
The “Last Updated” date identifies the latest revision.
31. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
Before initiating a lawsuit, the parties will first attempt in good faith to resolve the dispute through direct discussions for at least fifteen days after written notice of the dispute.
If the dispute is not resolved, the state and federal courts located in Los Angeles County, California will have exclusive jurisdiction.
Each party consents to personal jurisdiction and venue in those courts.
Either party may seek immediate injunctive or equitable relief when reasonably necessary to prevent unauthorized access, misuse of intellectual property, misuse of Confidential Information, security threats, or misuse of data.
32. GENERAL TERMS
These Terms, together with applicable checkout disclosures, onboarding documents, privacy policies, order forms, or written addenda incorporated by reference, constitute the entire agreement between StreamSmarter and Customer concerning the Service.
If a provision is found unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will remain effective.
A party’s failure to enforce a provision is not a waiver of that provision or any other provision.
Headings are included for convenience and do not affect interpretation.
The words “including” and “includes” mean “including without limitation.”
Electronic records and electronic acceptance are valid for purposes of these Terms.
Provisions that by their nature should survive termination will survive, including provisions concerning payment obligations, confidentiality, intellectual property, data retention, disclaimers, limitation of liability, indemnification, and dispute resolution.
